These Terms of Service ("Terms") govern your access to and use of PledgeDLT ("Platform"), a milestone-based crowdfunding platform operated by StackStats Apps LLC ("we," "our," or "us"). By using PledgeDLT, you agree to these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using PledgeDLT, you agree to:
- Be bound by these Terms and our Privacy Policy
- Be at least 18 years of age or the age of majority in your jurisdiction
- Provide accurate and complete information
- Comply with all applicable laws and regulations
2. Platform Description
PledgeDLT provides:
- A platform for creators to launch milestone-based crowdfunding campaigns
- Integration with XRPL for escrow-based fund management
- Tools for backers to pledge funds and vote on milestone completion
- Automated escrow release based on milestone verification
- Auto-refund mechanisms via time-locked escrows
We do NOT:
- Hold, custody, or control user funds
- Guarantee project success or delivery
- Verify the accuracy of campaign information
- Act as a party to any transaction between creators and backers
- Provide financial, investment, or legal advice
3. User Accounts
3.1 Account Creation
You must provide a valid email address and create a secure password. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
- You are solely responsible for all activity on your account
- Notify us immediately of unauthorized access at [email protected]
- Use strong, unique passwords and enable two-factor authentication when available
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Platform.
4. Creator Obligations
4.1 Campaign Accuracy
As a creator, you represent and warrant that:
- All campaign information is accurate, complete, and not misleading
- You have the legal right to offer described products/services/rewards
- You will make good-faith efforts to deliver on milestones and promises
- You will comply with all applicable laws, including tax obligations
4.2 Milestone Delivery
- Creators must submit evidence of milestone completion before fund release
- Milestones must be reasonable, achievable, and clearly defined
- If unable to complete milestones, creators must communicate transparently with backers
4.3 Platform Fees
Creators agree to pay platform fees as follows:
- Standard: 2% of funds raised (on milestone release)
- Pro Creator ($29/mo): 1% of funds raised
- Organization ($79/mo): 0.5% of funds raised
Fees are deducted automatically from escrow releases.
4.4 Prohibited Projects
Creators may NOT launch campaigns for:
- Illegal products or services
- Financial securities or investment contracts
- Ponzi schemes, MLM, or pyramid schemes
- Adult content, gambling, or weapons
- Fraudulent, deceptive, or misleading offers
- Projects that violate intellectual property rights
5. Backer Obligations
5.1 Pledge Commitments
- Pledges are binding commitments once submitted to XRPL escrow
- You understand that blockchain transactions are irreversible
- Refunds are only available if milestones are not met within deadline periods
5.2 No Investment Relationship
Backing a project does NOT constitute:
- An investment or equity stake
- A purchase contract with guaranteed delivery
- A loan or debt obligation
- A right to profits or returns
5.3 Voting Responsibilities
When voting on milestone completion, backers agree to:
- Review milestone evidence in good faith
- Vote honestly based on whether milestones were reasonably met
- Not collude to manipulate voting results
6. Blockchain & Cryptocurrency
6.1 Wallet Responsibility
- You are solely responsible for your XRPL wallet and private keys
- Lost or stolen keys cannot be recovered by PledgeDLT
- Transactions sent to incorrect addresses are irreversible
6.2 Transaction Fees
- XRPL transactions incur network fees (typically fractions of a cent)
- You are responsible for all blockchain transaction costs
- Platform fees are separate from network fees
6.3 Blockchain Risks
You acknowledge and accept risks including:
- Network congestion or outages
- Smart contract or escrow bugs
- Volatility in cryptocurrency prices
- Regulatory changes affecting cryptocurrency
7. Intellectual Property
7.1 Platform Content
PledgeDLT's design, logo, trademarks, and original content are owned by StackStats Apps LLC and protected by intellectual property laws.
7.2 User Content
By posting content (campaigns, images, descriptions), you grant PledgeDLT a non-exclusive, worldwide license to display, reproduce, and distribute your content on the Platform.
7.3 Copyright Infringement
If you believe content infringes your copyright, contact [email protected] with:
- Description of copyrighted work
- Location of infringing content
- Your contact information
- Good-faith statement of unauthorized use
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties, express or implied, including:
- Merchantability or fitness for a particular purpose
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Security or freedom from viruses
We do NOT guarantee:
- Project success or milestone completion
- Accuracy of campaign information
- Quality or legality of products/services
- Behavior or identity of users
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- StackStats Apps LLC is NOT liable for any indirect, incidental, consequential, or punitive damages
- Our total liability shall not exceed $100 or the amount of fees you paid in the past 12 months, whichever is greater
- We are not responsible for losses due to failed campaigns, cryptocurrency volatility, or blockchain errors
10. Indemnification
You agree to indemnify and hold harmless StackStats Apps LLC, its officers, directors, and employees from any claims, damages, or expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your campaign content or conduct
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions.
11.2 Arbitration
Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.
11.3 Platform Disputes
For disputes between creators and backers:
- PledgeDLT is NOT a mediator or arbitrator
- Users are encouraged to resolve disputes directly
- Community voting mechanisms provide transparency but are not legally binding
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notice. Continued use after changes constitutes acceptance.
13. General Provisions
13.1 Severability
If any provision is found invalid, the remaining provisions remain in effect.
13.2 No Waiver
Failure to enforce any provision does not waive our right to enforce it later.
13.3 Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and PledgeDLT.
13.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
